CLIENT TERMS

A fair, practical guide to working together.

These terms are written to make the project process clear for both Taruz Creative and the client. They work alongside your quote, project confirmation, invoices and payment receipt.

1. Who these terms apply to

These terms apply to creative services agreed between Taruz Creative, operated by Andrew Taruvinga, and the client. Questions can be sent to taruzcreative@gmail.com.

2. Project agreement

Each project is based on the agreed quote, project confirmation, scope, deliverables, price and timeline. If a specifically agreed written project term conflicts with these general terms, the specific written agreement takes priority where lawful.

3. Quotes and pricing

Website prices are starting prices. The final price depends on the agreed scope, complexity and deliverables. A quote is valid for the period stated on it. Work outside the agreed scope may need a revised quote; where it would materially affect the price, Taruz Creative will seek the client’s agreement before that additional work starts.

4. Deposits and booking

Where a deposit is required, it secures project time and allows work to begin. The amount or percentage will be shown on the quote or invoice. If a client cancels, any amount retained will reflect work properly completed and genuine losses reasonably incurred. Any statutory cancellation or refund rights remain unaffected.

5. Consumer cancellation rights

Consumers arranging services online may have statutory cancellation rights, including cooling-off rights where applicable. If a client expressly asks Taruz Creative to begin work during a statutory cancellation period, the client may need to pay for work properly carried out before cancellation where the law permits.

6. Payments

Invoice due dates are shown on the relevant invoice. Please use the stated payment reference where possible. Deposits and partial payments are credited against the final project total. The final balance may be required before final approved deliverables are released, unless otherwise agreed. Taruz Creative may reasonably pause work while an overdue payment remains outstanding; no punitive late fees apply unless separately and lawfully agreed.

7. Scope and changes

The scope is defined in the quote or project confirmation. Small clarifications may be accommodated. Significant changes may require a revised scope, timeline or additional fee, and should be agreed before extra work proceeds.

8. Revisions

Included revisions are defined in the project agreement. Where a Graphic Design or other project specifies two revision rounds, that is project-specific and not a universal guarantee. Revisions should relate to the agreed concept and scope. Substantial changes of direction or additional rounds may need a new quote. Correcting an error made by Taruz Creative is not treated as a paid client revision.

9. Client responsibilities

The client should provide accurate project information, copy, imagery or other assets, brand materials, permissions or licences for supplied materials, and timely feedback and approvals. Delays in receiving essential materials or feedback may reasonably move the delivery timeline.

10. Client-supplied content

The client is responsible for ensuring they have the right to supply and use any images, logos, music, footage, fonts, copy, trademarks or other third-party material provided for a project. Taruz Creative will not knowingly use unlawful or infringing material.

11. Delivery times

Target dates are based on the agreed scope and timely client cooperation. If a delay outside Taruz Creative’s reasonable control occurs, the dates may need to move. Taruz Creative will communicate this where reasonably possible. Dates are not guaranteed unless expressly agreed in writing.

12. Final delivery

Final deliverables are those listed in the agreement and will be supplied in the agreed format, resolution and file type. Editable, source or project files are not automatically included unless they are expressly stated in the agreed deliverables.

13. Intellectual property and ownership

Once agreed fees are paid in full, the client receives the agreed usage or ownership rights in the final approved deliverables as stated in the project agreement. Working files, unused concepts, drafts and internal production materials remain Taruz Creative property unless specifically transferred. Third-party assets remain subject to their own licences.

14. Portfolio use

Taruz Creative may ask to display completed work in its portfolio or social channels after public release. Clients can request confidentiality or opt out where needed. Private or confidential client work will not be published automatically.

15. Third-party costs

External costs, such as domain registration, web hosting, paid fonts, stock assets, printing, specialist licences or third-party subscriptions, may be separate from the creative fee. These costs will be communicated before commitment where practicable.

16. Website projects

For website work, the client remains responsible for ongoing third-party domain and hosting charges unless otherwise agreed. Maintenance or support after delivery continues only where included or separately agreed. Third-party platforms may change independently of Taruz Creative.

17. Cancellation by the client

Please notify Taruz Creative as soon as possible if a project needs to be cancelled. Taruz Creative may charge for work already completed and genuine losses reasonably resulting from the cancellation. Any retained amount will be proportionate, and applicable statutory cancellation rights remain unaffected.

18. Cancellation or suspension by Taruz

Taruz Creative may suspend or end a project for a reasonable material reason, such as persistent non-payment, abusive behaviour, an unlawful or infringing request, or repeated failure to provide essential materials. Where possible, notice will be given. Taruz Creative will invoice only for work properly completed or losses reasonably due, and will refund amounts that should fairly be returned.

19. Quality and client rights

Taruz Creative will provide services with reasonable care and skill. Nothing in these terms limits any rights the client has under applicable consumer law that cannot legally be excluded.

20. Liability

Taruz Creative is not responsible for losses caused by information, materials or instructions supplied incorrectly by the client, or by third-party services outside Taruz Creative’s reasonable control, except where the law provides otherwise. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or anything else that cannot legally be excluded.

21. Events outside reasonable control

Events such as serious illness or emergency, outages, widespread service interruption or natural events can affect a project. Both parties should communicate reasonably and try to reduce the impact. This does not automatically cancel the project; the next steps will be discussed fairly.

22. Privacy

Personal information is handled in line with the Taruz Creative Privacy Policy.

23. Complaints and resolving problems

If something is not right, please contact taruzcreative@gmail.com as soon as possible. Taruz Creative will try to understand the issue and resolve it fairly.

24. Governing law

These terms are governed by the laws applicable in England and Wales, subject to any mandatory rights a consumer may have in the country where they live.
